1. Agreement
These rules (the “Promotion Rules”) govern the Duedee Refer-A-Friend! Promotion (the “Promotion”). Before participating in the Promotion, each entrant must review and be subject to the Promotion Rules. No purchase is necessary to participate in the Promotion and by entering the Promotion constitutes acceptance of the Promotion Rules and the decisions of BP Networks Incorporated (the “Sponsor” or “BP”), which shall remain final in the event of a dispute. BP reserves the right to alter or discontinue the Promotion at any time without notice.

3. Eligibility
THE PROMOTION IS OPEN ONLY TO LEGAL RESIDENTS OF THE FIFTY (50) UNITED STATES AND THE DISTRICT OF COLUMBIA (COLLECTIVELY, THE "U.S."), AND LEGAL RESIDENTS OF CANADA (EXCLUDING THE PROVINCE OF QUEBEC), AND OF SIXTEEN (16) YEARS OF AGE OR OLDER AT THE TIME OF THE PROMOTION ENTRY. IF YOU ARE NOT A RESIDENT OF THE UNITED STATES OR CANADA OR DO NOT MEET THE AGE REQUIREMENT, YOU ARE NOT ELIGIBLE TO WIN A PRIZE AND THE SPONSOR RESERVES THE RIGHT NOT TO AWARD A PRIZE TO YOU. To be eligible to win a prize pursuant to the Promotion, entries must be completed and received by the Sponsor in the format designated below. The Sponsor and any of its subsidiaries, affiliates, directors, officers, professional advisors, advertising and promotional agencies, employees and agencies (collectively, the "Participating Entities"), and immediate families of each are not eligible to win any prizes. All applicable federal, state and local laws and regulations apply. Promotion void where prohibited.
You are permitted to only have one (1) account eligible to participate in the Promotion, and may not create multiple accounts or accounts for other people, including but not limited to friends, family, classmates and coworkers. Each new user that you refer must be a unique person who has not signed up in the past, or have already accepted a referral by another participant, and you may not refer yourself. By participating in the Promotion, you agree that you meet these eligibility requirements and agree to abide by BP’s Terms of Service. Violating these or other rules may cause the immediate suspension or cancellation of your account, and void your right to receive any prizes you may have won.
4. How to Enter
To participate in the Promotion, you must register an account or already have an existing account on the Web Site, login to your account, complete a referral form (“Referral Form”) found within your registered account, and have your referral sign-up an account via the Web Site. Your referral MUST register with the email address submitted by you, or specifically enter your user name in the appropriate invitation box during the registration process, in order for your referral to be considered a successful invitation that would entitle you to one (1) ballot for the prize draws. Only the first referral would be entitled to the ballot, and subsequent same person referrals would not be entitled to earn a ballot. There are no geographic restrictions on your referrals. Only direct referrals are eligible to earn you ballots, meaning that if your referral successfully refers another user, your referral earns the ballot and not you. There are no limits to the number of referrals and ballots eligible for each participant. Participation in the Promotion is expressly conditioned upon acceptance of all Promotion Rules and is subject to all applicable laws and regulations.
5. Entry Period
The entry period ("Entry Period") for U.S. Residents participating in the Promotion is from 12:01 a.m. Eastern Time on August 2, 2007 and extended to 10:59 p.m. Eastern Time on August 22, 2008 (previously March 21, 2008). Entry Period for Canadian Residents participating in the Promotion is from 12:01am Eastern Time on April 13, 2008 and to 10:59pm Eastern Time on August 22, 2008. All participants must have an account and have at least one referred friend successfully registered an account during the Entry Period in order to be eligible to win a prize.
6. How to Win
For each successful direct referral that has accepted an invitation via registering an account with a matching email address, the referrer will be entitled to one (1) ballot to participate in the bi-weekly random draws. Upon winning a draw, the winner’s existing ballots will be disqualified. The winner will still be eligible to win subsequent draws by re-entering with new referrals to the winning draw date.
7. Prizes
Each registered user who earns a minimum of one ballot through a successful direct referral will be eligible to participate in bi-weekly draws for a chance to win one of the prizes:

Prizes include Starbucks Coffee US$25 Gift Cards and Apple iTunes US$25 Gift Cards. Retail value of each Participant Prize is US$25.00. Odds of winning a prize will depend on the number of valid ballots received by participants and may also depend on how early during the Entry Period entries are received. Once all necessary communications and forms are accepted, the Sponsor will ship out winning prizes within three (3) weeks from the date of acceptance.
Prizes are not transferable. No substitutions or exchanges (including for cash) of any prizes will be permitted, except that Sponsor reserves the right to substitute a prize of equal or greater value for any prize. All prizes are awarded "AS IS" and WITHOUT WARRANTY OF ANY KIND, express or implied, (including, without limitation, any implied warranty of merchantability or fitness for a particular purpose).
ALL FEDERAL, STATE AND LOCAL TAXES, INSURANCE AND ANY RELATED COSTS ASSOCIATED WITH THE RECEIPT OR USE OF ANY PRIZES ARE THE SOLE RESPONSIBILITY OF THE WINNERS.
8. Notification & Prize Redemption
For ballots drawn, the potential winners will be contacted the same day by email at the provided email address, and will have five (5) business days to respond (for example, by 10:59 p.m. Eastern Time on the following Friday). If contact with the potential winners cannot be made within this time period, the Sponsor shall be entitled to draw an alternative ballot until such time as a potential winner satisfies the terms of this section. Claims received after the five (5) business day redemption period will be null and void and ineligible for prizes. Unclaimed prizes will not be awarded.
The winner will be provided with an online form which must be signed as a declaration of eligibility and compliance with the Promotion Rules, and serve as a consent to release and indemnify the Sponsor and its respective parent, subsidiaries, affiliates and/or related companies and each of their officers, directors, shareholders, employees, advisors, assignees, agents, licensees, representatives, advertising, media buying and promotional agencies from any liability in connection with the Promotion and the prizes, including but not limited to injuries, death, damages or losses of any kind resulting from the Promotion, including but not limited to acceptance or use of the items in the prizes. Prior to receiving the prizes, the winner shall agree to have his/her name, city and state of residence used in any and all forms of media, without further compensation by the Sponsor. If the Sponsor does not receive the completed online form as contemplated herein, back within 72 hours, then the Sponsor may draw for another potential winner and the first winner will have no further claim to the prize.
For Canadian Residents, in order to be declared a winner, the notified participant must also provide a correct answer to a mathematical, skill-testing question on the online form. U.S. Residents will not be required to complete a mathematical, skill-testing question.
9. Disqualification
The Sponsor may, in its sole discretion, prohibit or ban any person from participating in the Promotion whom they believe to be abusing the Promotion Rules, which may include, but not limited to, entering false information, creating multiple accounts, submitting false or fictional referrals or breaching other terms outlined in the Terms of Services.
10. Privacy
BP’s Privacy Policy applies to the Promotion. However, by participating in the Promotion, you agree to allow the Sponsor use your information to administer the Promotion, which includes contacting, announcing and promoting prize winners.
11. Internet
The Sponsor is not responsible for any on-line or other charges that may be incurred in connection with participating in the Promotion. The Sponsor makes no representations or warranties and there are no conditions of any kind, express or implied, statutory or otherwise, with respect to the Web Site, including without limitation, that the Web Site will meet entrant’s requirements, always be available, accessible, accurate or secure. The Sponsor will not be liable for any damages of any kind including without limitation direct, indirect, incidental, punitive and consequential damages arising out of or in connection with participation in the Promotion, the use of the Web Site, or downloading any materials in the Promotion. Use of any method, mechanism, device, or software affecting the proper functioning of the Promotion or the Web Site is strictly prohibited. The Sponsor may, at its sole discretion and without notice, terminate the right of any participant in the Promotion or user of the Web Site to participate in the Promotion or use the Web Site, including disqualifying of any individual who tampers with the entry process.
Caution: Any attempt by an entrant to deliberately damage any Web Site or other components or undermine the legitimate operation of the Promotion is a violation of criminal and civil laws and should such an attempt be made, the Sponsor reserves the right to seek damages from any such entrant to the fullest extent permitted by law.
12. General Release
BY PARTICIPATING IN THIS PROMOTION, YOU RELEASE BP AND ANY OF ITS RESPECTIVE PARENT, SUBSIDIARIES, AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, REPRESENTATIVES, AGENTS, AND AGENCIES FROM ANY AND ALL LIABILITY WHATSOEVER, AND WAIVE ANY AND ALL CAUSES OF ACTION, RELATED TO ANY CLAIMS, COSTS, INJURIES, LOSSES OR DAMAGES OF ANY KIND ARISING OUT OF OR IN CONNECTION WITH THE PROMOTION, FROM BP’S USE OF ANY DATA OR INFORMATION RECEIVED OR COLLECTED IN CONNECTION WITH THE PROMOTION, FROM ANY LATE, LOST, OR MISDIRECTED CONTACT FORMS OR GIFT CARDS, ERRORS OR TECHNICAL DIFFICULTIES OF ANY KIND (INCLUDING BUT NOT LIMITED TO THE INABILITY TO ACCESS THE SITE), OMISSIONS, PROCESSING DELAYS, PERFORMANCE OR FAILURE TO PERFORM HEREUNDER, OR FROM THE USE OR INABILITY TO USE THE SITE OR FROM THE USE OR INABILITY TO USE THE GIFT CARD, (INCLUDING WITHOUT LIMITATION, CLAIMS, COSTS, INJURIES, LOSSES AND DAMAGES RELATED TO PERSONAL INJURIES, DEATH, DAMAGE TO OR DESTRUCTION OF PROPERTY AND RIGHTS OF PRIVACY, WHETHER INTENTIONAL OR UNINTENTIONAL) WHETHER UNDER A THEORY OF CONTRACT, TORT (INCLUDING NEGLIGENCE), WARRANTY OR OTHER THEORY. ALL APPLICABLE LAWS APPLY.
13. Miscellaneous
Except where prohibited, you agree that any and all disputes, claims, and causes of action arising out of or connected with the Promotion or any prize awarded shall be resolved individually, without resort to any form of class action, and will be governed by and construed in accordance with the laws of the Special Administrative Region of Hong Kong, without giving effect to its conflict of laws provisions or your actual state or country of residence. You agree that any action at law or in equity arising out of or relating to these terms shall be filed only in the Special Administrative Region of Hong Kong and you hereby consent and submit to the personal jurisdiction of such courts for the purposes of litigating any such action. Any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with participating in the Promotion, but in no event attorneys’ fees.
Under no circumstances will participant be permitted to obtain awards for, and participant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased.
Neither the Sponsor nor its parent, subsidiaries, affiliates, directors, officers, employees, representatives, agents and agencies shall be liable in any way whatsoever under any theory of claim of law or in equity for or due to any act or circumstances beyond their reasonable control, including but not limited to acts of God, power failures, equipment and software malfunctions, war, terrorism, fire, earthquake, floods or other natural disasters, internet interruption or failure, organized labor strikes, or new government regulations and laws, even if such party has been advised of the possibility of such damages.
